Period of Consultations: Thu May 14, 2026 to Sat June 13, 2026The Ministry of Trade, Agribusiness and Industry (MOTAI), as the National Focal Point for ECOWAS competition matters in Ghana, notifies the public that the ECOWAS Regional Competition Authority (ERCA) has received a merger notification under which Zijin Gold International Company Limited (the "Acquirer") proposes to acquire one hundred per cent (100%) of the issued shares of Allied Gold Corporation (the "Target"), thereby obtaining sole control over the Target and its subsidiaries. The transaction is implemented pursuant to an Arrangement Agreement dated 26 January 2026. Upon completion, the Acquirer will hold the entirety of the issued share capital and voting rights in the relevant target entities.
The notification to ERCA and this publication are made pursuant to Supplementary Act A/SA.1/12/08 (Community Competition Rules, Article 3(f)); Regulation C/REG.23/12/21 (Rules of Procedure for Mergers and Acquisitions, Article 2(1)(a)); Regulation C/REG.24/12/21 (ERCA Rules of Procedure, Article 10(4)); Enabling Rules PC/REX.1/01/24 (thresholds); and Article 44(2)(a)(iv) of the ERCA Manual of Investigation and Notification Procedures.

Parties to the Transaction
Acquirer — Zijin Gold International Company Limited: a publicly listed company on the Stock Exchange of Hong Kong, ultimately controlled by Zijin Mining Group Company Limited (the "Zijin Group"). Within the ECOWAS Community Market, the Acquirer operates through Zijin Golden Ridge Limited (formerly Newmont Golden Ridge Limited), incorporated in Ghana, which holds a 100% interest in the Akyem Gold Mine.
Target — Allied Gold Corporation: a public company incorporated under the laws of Ontario (Canada) and listed on the Toronto Stock Exchange, owned by its board of directors and Helikon Investments Limited. Within the Community Market, the Target operates through subsidiaries incorporated in Côte d'Ivoire — Bonikro Gold Mine SA, Afrique Gold Exploration SARL, Hire Gold Mine SA, and Agbaou Gold Operations SA — which operate mining and processing infrastructure.
