The Proposed Transaction
The Ministry of Trade, Agribusiness and Industry (MOTAI), as the National Focal Point for ECOWAS competition matters in Ghana, notifies the public that the ECOWAS Regional Competition Authority (ERCA) has received a notification of a concentration operation under which Compagnie Ivoirienne de Coton ("COIC" or the "Acquirer") proposes to acquire a majority shareholding in the share capital of Uniwax (the "Target"), thereby conferring sole control over the Target. Following completion of the transaction, a portion of the share capital of the Target will remain publicly held through the Regional Stock Exchange (Bourse Régionale des Valeurs Mobilières — BRVM).

Ghana has been notified by ERCA as a concerned ECOWAS Member State in respect of the proposed transaction, in view of the activities of the parties within the Community market, including exports by the Target into Ghana. Comments from interested parties in Ghana on any aspect of the proposed transaction are accordingly invited.

Key Provisions / Thematic Areas

Parties to the Transaction
Acquirer — Compagnie Ivoirienne de Coton (COIC): a public limited company incorporated under the laws of Côte d'Ivoire, active in the cotton ginning sector and the marketing of cotton fibres. COIC operates upstream in the cotton-textile value chain, notably in the processing of seed cotton and the supply of agricultural inputs to producers. The Acquirer is part of a diversified group active in several sectors, including agro-industry, construction and public works, energy, financial services, and mining.

Target — Uniwax:
an industrial company incorporated under the laws of Côte d'Ivoire, specialising in the production and marketing of African textiles, in particular printed wax fabrics. The Target operates primarily in Côte d'Ivoire and exports to several ECOWAS countries, including Ghana.
 

Legal Basis
The notification to ERCA and this publication are made pursuant to Supplementary Act A/SA.1/12/08 (Community Competition Rules, Article 3(f)); Regulation C/REG.23/12/21 (Rules of Procedure for Mergers and Acquisitions, Article 2(1)(a)); Regulation C/REG.24/12/21 (ERCA Rules of Procedure, Article 10(4)); Enabling Rules PC/REX.1/01/24 (thresholds); and Article 44(2)(a)(iv) of the ERCA Manual of Investigation and Notification Procedures.
