The Ministry of Trade, Agribusiness and Industry (MOTAI), as the National Focal Point for ECOWAS competition matters in Ghana, notifies the public that the ECOWAS Regional Competition Authority (ERCA) has received a merger notification under which CVC Capital Partners ("CVC"), acting through newly incorporated investment vehicles — Specialty Bidco B.V. and Specialty and Essential Bidco B.V., owned by CVC Fund IX — proposes to acquire sole control of the Animal Nutrition and Health business (the "ANH Business") of DSM Firmenich AG. Upon completion, the Acquirers will hold the entirety of the issued share capital and voting rights in the relevant target entities, thereby obtaining decisive influence over the strategic direction and operations of the ANH Business.

Ghana has been notified by ERCA as a concerned ECOWAS Member State in respect of the proposed transaction. Comments from interested parties in Ghana on any aspect of the proposed transaction are accordingly invited.

Parties to the Transaction
Acquirers — CVC Capital Partners (CVC Funds): Specialty Bidco B.V. and Specialty and Essential Bidco B.V. — newly incorporated investment vehicles owned by CVC Fund IX, managed and advised by CVC Capital Partners (together, the "Acquiring Group"). CVC Capital Partners is an international investment firm that provides investment advice to, and manages investments on behalf of, the CVC Funds and seeks new investment opportunities across a range of sectors.

Target — DSM Firmenich AG, Animal Nutrition and Health Business:
comprising the EssentialCo and SpecialtyCo Businesses (the "ANH Businesses"), active in premixes, performance solutions, and precision services and products, including vitamins, carotenoids, and aroma ingredients (including synthetic lavender). DSM Firmenich AG is a global science-based company headquartered in Kaiseraugst, Switzerland.

Legal Basis
The notification to ERCA and this publication are made pursuant to Supplementary Act A/SA.1/12/08 (Community Competition Rules, Article 3(f)); Regulation C/REG.23/12/21 (Rules of Procedure for Mergers and Acquisitions, Article 2(1)(a)); Regulation C/REG.24/12/21 (ERCA Rules of Procedure, Article 10(4)); Enabling Rules PC/REX.1/01/24 (thresholds); and Article 44(2)(a)(iv) of the ERCA Manual of Investigation and Notification Procedures.
